Distance Sales Agreement

1.1. Seller (Service Provider)

1.2. Buyer (Consumer)

• The user who registers on the Platform and completes a payment transaction ("Buyer", "User", "Consumer")
• The Buyer's identity and contact information are as declared during registration

2.1. Scope

• The product subject to sale is not a physical good but a digital service (SaaS - Software as a Service) subscription
• The Buyer purchases access rights to the NobetPortal platform according to the selected plan and period
• The service is delivered entirely in a digital environment; there is no physical delivery

3.1. Service Description

NobetPortal is a digital platform that provides shift and schedule list creation, management, and distribution services for work groups in hospitals and healthcare facilities.

3.2. Plan Types

The Platform offers two different plan types:

• Standard Plan: Basic shift/schedule planning features
• Pro Plan: All platform functions including advanced features

3.3. Group Sizes

Each plan is offered in 8 different tiers based on group size:

• Groups of 10-20 people
• Groups of 20-30 people
• Groups of 30-40 people
• Groups of 40-60 people
• Groups of 60-80 people
• Groups of 80-110 people
• Groups of 110-140 people
• Groups of 140-180 people

3.4. Subscription Periods

Subscriptions are offered in two different periods:

• Monthly subscription: 30-day duration
• Yearly subscription: 365-day duration

3.5. Plan Features

Detailed features offered by each plan type are clearly stated on the Platform's pricing page (nobetportal.com/pricing). The Buyer acknowledges that they have reviewed the plan features before making a purchase.

4.1. Pricing

The service fee is calculated based on the average number of people in the selected group size tier:

• Standard Plan: Average member count × 4₺/month or 40₺/year
• Pro Plan: Average member count × 6₺/month or 60₺/year
• For example, the 10-20 person tier uses an average of 15 people. The actual per-person unit price may vary depending on the real number of people in the group.
• All prices shown on the pricing page are final prices including all taxes

4.2. Payment Method

• Payment transactions are processed through Shopier, a third-party payment service provider
• Shopier is a licensed payment institution providing secure payment infrastructure
• Credit card and debit card payments are accepted
• Payment is collected as a one-time charge for the selected subscription period; there is NO automatic recurring payment (auto-renewal)

4.3. Invoice and Documentation

Payment confirmation is provided by Shopier after the transaction. The Buyer can view their payment information on the account page within the Platform.

5.1. Delivery Method

• The service is provided in a digital environment; there is no physical delivery
• Service access is granted immediately after payment confirmation
• The Buyer can create a group on the Platform using the purchased subscription

5.2. Service Period

• The service period begins from the date of payment confirmation
• Monthly subscription: 30 days from the payment date
• Yearly subscription: 365 days from the payment date
• Service access automatically expires at the end of the period; there is no automatic renewal

5.3. Delivery Time

As a digital service, access is provided immediately (instantly) after successful payment confirmation. In case of payment confirmation delays, access is activated as soon as confirmation is received.

6.1. Legal Framework

Pursuant to the Consumer Protection Law No. 6502 and the Distance Contracts Regulation, the consumer has the right to withdraw from distance contracts within 14 (fourteen) days without giving any reason and without paying any penalty.

6.2. Digital Content Exception

Pursuant to Article 15(g) of the Distance Contracts Regulation, the right of withdrawal cannot be exercised for services performed instantly in electronic environment or intangible goods delivered instantly to the consumer, where performance has begun with the consumer's prior consent.

6.3. Application of Withdrawal Right at NobetPortal

The Buyer's right of withdrawal is applied as follows based on the actual usage status of the service:

• If the Buyer has NOT yet created their first shift list (has not actually started using the service): The right of withdrawal can be exercised within 14 days from the payment date
• If the Buyer HAS created their first shift list (digital content delivery has begun): The Buyer acknowledges that the digital service delivery has commenced with the first shift list creation and that they waive their right of withdrawal in this case

6.4. Exercising the Right of Withdrawal

A Buyer who has the right of withdrawal may exercise this right as follows:

• By sending an email containing the withdrawal request to hosgeldiniz@nobetportal.com
• The email must include full name, registered email address, and payment information
• The withdrawal notification must be made within 14 days from the payment date

6.5. Refund Upon Withdrawal

• Upon proper exercise of the right of withdrawal, the amount paid shall be refunded to the Buyer within 14 days at the latest from the date the withdrawal notification reaches the Seller
• The refund is made to the payment instrument (credit card, debit card) used for the payment
• Bank or credit card institution refund procedures apply in the refund process; the Seller is not responsible for delays in these processes

7.1. Information and Consent

• The Buyer acknowledges and declares that they have been informed about the essential characteristics of the service, the sales price, the payment method, and the right of withdrawal before the purchase
• The Buyer acknowledges that they have read and approved the preliminary information form in electronic form
• The Buyer declares that they have read, understood, and accepted all provisions of this agreement

7.2. Agreement Duration

This agreement enters into force upon the Buyer's completion of the payment transaction and remains valid until the end of the purchased subscription period.

7.3. Agreement Amendments

The Seller reserves the right to amend the provisions of this agreement. Amendments become effective on the date they are published on the Platform. Amendments made during an existing subscription period shall not be applied to the detriment of the Buyer until the end of the relevant subscription period.

7.4. Force Majeure

The parties cannot be held responsible for failure to fulfill contractual obligations due to force majeure events beyond the control of the parties, including but not limited to natural disasters, war, terrorism, strikes, communication problems, infrastructure failures, and power outages.

7.5. Applicable Law and Jurisdiction

• This agreement is subject to the laws of the Republic of Turkey
• Consumer Arbitration Committees and Consumer Courts are authorized for disputes arising from this agreement within the scope of Law No. 6502
• Application limits to Consumer Arbitration Committees are subject to the monetary limits determined annually by the Ministry of Trade

7.6. Evidence Agreement

The parties agree that the Seller's official books and commercial records, as well as electronic information and computer records, shall constitute conclusive evidence in accordance with the Code of Civil Procedure in any disputes arising from this agreement.
